Service Agreement

A service agreement outlining the terms, deliverables, and payment structure for Flow AI’s LinkedIn outreach and AI prospecting services.
Note: The services and terms described in this Agreement apply only to Flow AI plans that include Auto-Pilot mode, as listed on our pricing page.

1. Purpose

The purpose of this Agreement is to outline the terms under which Flow AI will deliver LinkedIn outreach services to the Client. This Agreement becomes effective on the date Flow AI receives the Client’s initial deposit payment as described in Section 3.1. No services, setup work, or campaign activity will begin until this deposit has been received and confirmed.

2. Scope of Services

2.1 Lead Targeting

Depending on the selected subscription plan, Flow AI will collaborate with the Client to define an Ideal Customer Profile (ICP). Using this ICP, Flow AI will build a targeted prospect list through LinkedIn Sales Navigator, as well as other approved third-party tools or any existing lists provided by the Client. The goal is to ensure that all outreach efforts focus on the most relevant and high-quality prospects.

2.2 LinkedIn Outreach

Once the ICP and messaging have been finalized, Flow AI will begin LinkedIn outreach using the Client’s LinkedIn profile(s). This process will normally commence within 1–2 business days after the kickoff call and will be fully managed by Flow AI.

2.3 Agent Maya

Flow AI provides access to Agent Maya, its AI-powered outreach and messaging assistant.

  • In Auto-Pilot Mode, Maya will send initial connection requests to prospects on behalf of the Client.
  • In Co-Pilot Mode, Maya will assist the Client or SDRs via a Chrome Extension, helping them write contextual, brand-consistent replies based on each prospect’s profile and message history.

This system enables faster, more personalized conversations to help guide prospects toward calls.

2.4 Campaign Tracking

Flow AI will support the Client in managing and tracking all prospect replies. If the Client does not have an existing CRM, Flow AI will provide access to its built-in CRM.

2.5 Support

The Client will receive 3 check-in calls during the first month and ongoing support via Slack. This includes assistance with messaging, copy review, and recommendations to improve response rates and booked calls.

2.6 Playbooks and Templates

The Client will also receive a full outreach playbook that includes scripts, templates, and tested strategies. These materials are provided to accelerate results and reduce trial-and-error in outbound efforts.

3. Fees and Payment

3.1 Deposit and Activation of Services

To initiate this engagement, the Client must pay the first month’s fee for their chosen plan. This initial payment serves as a refundable deposit and marks the Effective Date of this Agreement.

No setup, onboarding, or campaign work will begin until Flow AI confirms receipt of this deposit.

For plans with Auto-Pilot enabled, the following applies once outreach begins:

  • If the Client does not receive any engaged replies within 45 days of outreach starting, they may request a full refund of their deposit.
  • If the Client does receive at least one engaged reply, the deposit automatically becomes the first month’s service payment, and the 90-day commitment period officially begins.
  • The Client will then make two additional monthly payments to complete the initial 90-day term.

This structure ensures that the Client only transitions into the paid subscription period once the campaign has produced genuine engagement.

3.2 Ongoing Monthly Retainer

After the initial 90-day term, billing continues on a month-to-month basis in accordance with the Client’s selected plan.

For reference, any plan with Auto-Pilot enabled is billed at a base monthly rate and covers up to three LinkedIn accounts (“seats”), with additional seats as according to plan (found on our pricing page).

4. Timeline and Expectations

4.1 Kickoff and Setup

Upon signing this Agreement and paying the deposit, the Client will be invited to schedule a kickoff call. During this call, both parties will finalize the ICP, confirm messaging, and prepare campaign assets. Outreach typically begins within 1–2 business days after this session.

4.2 Engaged Replies and Results

Clients generally begin to see engaged replies within 1–2 weeks of outreach starting. While call bookings are not guaranteed, Flow AI’s target is to achieve approximately two to three qualified calls per LinkedIn account per week, depending on market and offer.

4.3 Performance Coaching

Flow AI will regularly monitor performance and provide strategic feedback to improve outcomes, including LinkedIn profile optimization, offer refinement, and messaging adjustments. The system is designed to be repeatable and scalable once proof of concept is achieved.

5. Term and Cancellation

5.1 Agreement Term

This Agreement commences once the Client’s deposit has been received. The initial term runs for 90 days, beginning on the date the Client receives their first engaged reply. After the initial 90-day term, the Agreement automatically continues on a month-to-month basis with no further long-term commitment.

5.2 Cancellation Policy

Either party may cancel this Agreement after completion of the initial 90-day term. To avoid being charged for the next billing period, written notice of cancellation must be given at least seven (7) days before the next billing date.

6. Guarantee and Refund Policy

If the Client does not receive any engaged replies within 45 days of active outreach starting, they may request a full refund of the initial payment. An “engaged reply” is defined as a response from a prospect that indicates interest or willingness to converse further about the Client’s offer, and does not include rejections or dismissive replies. Once an engaged reply is received, the deposit becomes the first month’s subscription fee, and the 90-day commitment period begins.

7. Confidentiality

Both Flow AI and the Client agree to keep all shared business, client, and campaign data strictly confidential. No information may be shared with third parties without prior written consent from the other party.

8. General Provisions

8.1 Entire Agreement

This document represents the full understanding between both parties and supersedes all prior discussions, proposals, or verbal agreements.

8.2 Governing Law

This Agreement will be governed by the laws of the United Kingdom and the United States of America, and any disputes will be handled under those jurisdictions.

8.3 Amendments

Any modification or amendment must be made in writing and signed by both parties.

8.4 LinkedIn Account Responsibility

Flow AI is not responsible for any account blocks, warnings, or restrictions that occur due to the use of third-party tools or automations not approved by Flow AI that may violate LinkedIn’s Terms of Use.

8.5 Messaging Accuracy Disclaimer

Flow AI is not liable for errors or unexpected message behavior caused by incomplete or misleading LinkedIn profile information (for example, joke job titles, incorrect company names, or unusual formatting that affects data signals in Sales Navigator).

9. Terms of Service and Privacy Policy

By submitting any payment to Flow AI, the Client acknowledges that they have read, understood, and agreed to Flow AI’s Terms of Service and Privacy Policy, both of which form an integral part of this Agreement.
